AI Playbook Lab: Negotiating Risk in Liability and Indemnity Clauses
Event Description
Liability and indemnity provisions sit at the center of risk allocation in commercial contracts. In this AI Playbook Lab, we’ll look at how master negotiators approach these clauses from both sides and show you how to create easy and effective AI playbooks that will streamline your negotiations.
Back by popular demand, this session builds on our previous Labs with a practical focus on how AI can support consistent, informed negotiation and review.
Join us Monday, November 17th at 3 PM ET / 12 PM PT for a live session with LegalOn’s Head of Legal, Bari Williams and Commercial Counsel, Katie Harris. You’ll see real negotiation examples, learn how to build a clause playbook, and watch how AI can apply it in real time.
You’ll Learn:
- Structuring liability caps and carve-outs aligned with deal value, risk, and insurance coverage
- Allocating exceptions for indemnities, confidentiality breaches, and gross negligence
- Defining the scope of indemnity, including covered parties, triggers, and exclusions
- Managing IP infringement, data breach, and third-party claim indemnities
- Translating negotiation strategy into AI-driven playbooks that flag risks and improve consistency
