Theresa Golde, JD

Theresa provides general counsel services to small and mid-size businesses, focusing on construction and real estate matters, commercial contracts, and compliance with government agencies. She offers a wide range of corporate and commercial legal services and supports businesses from formation through all stages of growth. Her work also includes corporate governance, contract negotiation, mergers and acquisitions, transactional employment matters, and compliance with city, state, and federal funding requirements. Theresa brings extensive experience in construction and real estate law. Prior to joining
the firm, she served as General Counsel for a group of companies in Austin that deliver civil engineering, construction, and affordable housing development services. Early in her career, she practiced business and construction litigation for five years. She draws on this background to help her clients prepare proper documentation from the outset and address key issues before beginning construction projects. Theresa has always made it a priority to give back to the community. She actively engages in community service and currently focuses her efforts on counseling nonprofit organizations and advising the Christi Center—an Austin-based nonprofit offering free grief support to individuals who have lost loved ones. Theresa helped establish the Christi Center’s Governance Committee and served as an officer on the Board of Directors for five years. She now chairs the Nominations Committee, where she leads board member recruitment. Theresa also participates in the Travis County Women Lawyers Association, and she mentors young attorneys through its mentoring program. During law school, Theresa served on the Texas Tech Law Review and trained as a mediator through the ADR Clinic in Lubbock. She worked as a research assistant for several years and provided pro bono support at Disability Rights Texas. Her commitment to community service inspired her to write a law review comment on a disability rights issue under the Fair Labor Standards Act. The law review published her comment, and she received the M. Penn L. Award for the best researched and summated student article. Originally from California, Theresa moved to Austin after her husband served four years in the United States Marine Corps. She quickly fell in love with the city. She and her husband have since settled here with their two children, who keep them active every day.

Inside AIA Construction Contracts: What In-House Counsel Need to Know

+

Event Description

AIA construction contracts have become the gold standard for structuring complex construction projects. With pre-drafted templates for architects, general contractors, subcontractors, and consultants, they offer consistency, clarity, and industry-wide recognition. But for in-house counsel, understanding what’s in these agreements—and what’s missing—is essential to managing risk, negotiating effectively, and supporting your business objectives in development and construction projects.

Join us on Wednesday, September 10 at 3pm ET / 12pm PT as Theresa Golde, JD, Special Counsel at The Schoenbaum Firm, shares practical insights on reviewing and negotiating AIA Owner–Contractor agreements. Drawing from years of experience as former General Counsel for a group
of companies in Austin, where she oversaw civil engineering, construction, and affordable housing development contracts, Theresa will walk through the key clauses in AIA Owner–Contractor templates—and how in-house teams can improve and tailor them for real-world use.

In this session, you’ll learn:

  • Key differences between stipulated sum vs. cost-plus contracts—and the importance of guaranteed maximum pricing
  • What to know about retainage, interest, and lien waivers/releases in practice
  • The risk implications of limitation of liability and consequential damage waivers
  • Best practices for structuring payment terms, including “pay when paid” clauses
  • How to navigate unique tax and termination provisions, especially for nonprofit developments
  • Important insurance considerations

Who Should Attend:

This CLE is tailored for in-house counsel supporting real estate, construction, procurement, or nonprofit development projects who want to build fluency in AIA Owner–Contractor agreements and sharpen their ability to review, revise, and negotiate them with confidence.

There is NO COST to attend this program!

This program is FREE thanks to our gracious sponsor, Chamelio — the Legal Intelligence Platform powering faster, smarter negotiations through contract data and AI! If you can’t make it to the live program, the recording will be available for viewing via our paid CLE library, In-House Connect On-Demand!
