Event Description

In Today’s world, partnering with Private Equity is an increasingly common occurrence. And as in-house counsel, we are often key players in the formation and execution of those relationships. In the rapidly evolving private equity landscape, in-house counsel must have the foresight and expertise to guide and navigate the business through the private equity journey.

Join us on Tuesday, February 6, 2024 at 12pm ET / 9am PT for the next edition of our IHC Fundamentals Series, as Carla Ruggero, Eric Schaffer and Neil Barlow of Clifford Chance will discuss the governance structures, contractual nuances, and common scenarios that are essential for in-house counsel to navigate the complexities of private equity investments.

Discussion topics include:

  1. Common Deal Terms in Private Equity: Board representation, voting and information rights, conflict of interest, non-compete and non-solicitation provisions, and more.
  2. Strategic Corporate Partnerships: Focus on how private equity sponsors and strategic corporates can effectively align their interests. We’ll discuss the importance of governance structures in fostering successful, mutually beneficial partnerships.
  3. Founder-Backed Business Dynamics: Examine the unique challenges and opportunities presented when private equity sponsors partner with founder-backed businesses.
